Case History

  • Administration followed by Company Voluntary Arrangement (CVA)
    A Plc listed on the Plus market approached us after they had had their contract terminated where they were the main contractor. The Company was placed into Administration to protect it from Creditor action whilst alternative rescue measures were investigated. The company exited Administration via a CVA and all creditors were paid in full with shares in the Company. The ‘clean’ Company sought re-listing on Plus markets and then acquired another Company in a reverse ‘takeover’. This was the best result for creditors as they may be able to sell their shares in the newly listed Company at some point in the future.

  • Administration and Sale of Business and assets
    A large online and offline dating agency approached ourselves due to increasing creditor pressure and threats of distraint by HMRC for accrued debts. To protect the Company from creditor pressure and to remain operational the Company was placed into Administration and we continued to trade it under the Insolvency Practitioner whilst alternative exit routes were investigated. The Company overheads were cut and it was shown to be a profitable business. After 3 months of trading in administration the assets of the business were successfully sold to a third party.

  • Liquidation and Sale of Business and assets
    A director called us after being referred by a friend of his who we had successfully helped previously. Having invested much of his savings into the business, which was in the construction industry, he was worried that it was not performing well and he was ploughing more and more capital into and that he also had a personal guarantee with his bank. We took him through the options, then it was mutually decided that the business was unlikely to survive in its current format. We negotiated with the Directors current bankers to fund the purchase of the assets of the business from the liquidator and with the reduced debt and overheads the business was now a viable entity.

Headed by a former Chairman and Director of 10 publicly traded companies within the AIM market of the London Stock Exchange, this division specialises in marketing new admissions to the market. Below is a case history of Corporate Finance facilitated:

  • AIM Rescue in 2003 of Media plc raising over £1m+
  • AIM Flotation in 2004 of an Insurance Company valued circa £2m and raised £1m+ - sold in June 2007 for circa £7m
  • AIM Flotation, 2005 of an Online/Offline Gambling Company. Raised £1m+
  • AIM Flotation, 2006 of a Lottery Company. Raised £500k+
  • AIM Rescue in 2010 of Gambling plc raising circa £350k
